Role & Responsibilities:
As a Company Secretary at our firm, your key responsibilities will include:
Company Law & Compliance:
Handling the formation and incorporation of companies, including related regulatory filings.
Ensuring compliance with the Companies Act, 2013, and other applicable laws and regulations.
Preparing and filing necessary documents with the Registrar of Companies (RoC) and other relevant authorities.
Assisting with the maintenance of statutory records and registers, such as minutes of meetings, resolutions, and legal documents.
Coordinating and ensuring timely filing of annual returns, financial statements, and compliance certificates.
Foreign Exchange Management Act (FEMA):
Advising clients on FEMA regulations and ensuring compliance with foreign investment and foreign exchange regulations.
Assisting clients with filings and compliance procedures related to FEMA.
Coordinating with relevant authorities for FEMA-related approvals and registrations.
Advisory Services:
Providing advisory services to clients regarding business structuring, including incorporation, acquisition, and liquidation of companies.
Offering strategic advice on mergers, demergers, and joint ventures from a regulatory and corporate governance perspective.
Assisting clients with the regulatory aspects of corporate restructuring and business transactions.
Providing guidance on corporate governance best practices and ensuring that clients adhere to the latest regulatory changes.
Liaison with Authorities:
Coordinating and liaising with various regulatory authorities, such as the Ministry of Corporate Affairs (MCA), RoC, and FEMA authorities.
Assisting clients with various registrations, approvals, and documentation processes.
Regular Compliance Monitoring:
Monitoring and ensuring that clients comply with all legal and regulatory requirements.
Keeping clients informed of changes in relevant laws and ensuring they remain compliant at all times.
Preparing compliance reports for internal and external audits.
Continuous Professional Development:
Actively staying updated on changes in company law, FEMA regulations, and other related areas.
Participating in training sessions and contributing to the continuous improvement of the firms service offerings.
Key Requirements:
A qualified Company Secretary (CS) with 0-5 years of post-qualification experience.
Strong knowledge of the Companies Act, 2013, FEMA, and corporate law compliance.
Experience in business structuring, mergers, acquisitions, and corporate governance.
Strong communication skills and the ability to liaise with regulatory authorities and clients.
Proficiency in legal documentation and regulatory filings.
Ability to work under pressure and meet deadlines effectively.
Attention to detail, organized, and proactive in identifying and solving problems.
